These Terms & Conditions apply to the use of this website (newdayspirits.nl) and to all enquiries, offers and agreements of New Day Spirits, Groningen, Netherlands. By using this website or by doing business with us, you accept these terms.
1. Business to business only
New Day Spirits trades A‑branded spirits, wine and beer exclusively with trade partners, such as traders, wholesalers, importers and other businesses acting in the course of their trade or profession. We do not sell to consumers. By contacting us or placing an order, you confirm that you act on behalf of a business and that you are of legal age to trade in alcoholic beverages in your country.
2. Information on this website
The information on this website is general and is provided for information purposes only. It does not constitute an offer. We do our best to keep it accurate and up to date, but we do not guarantee that it is complete, correct or current, and we may change it at any time without notice.
3. Offers and agreements
- All offers, quotations, stock lists and price indications, in whatever form, are non-binding and subject to availability and prior sale.
- An agreement is only concluded once we have confirmed an order in writing (an order confirmation, by email or otherwise in writing).
- Quantities, specifications, delivery terms and lead times are only binding as stated in our written confirmation. Stated delivery dates are an indication and are not strict deadlines.
- Unless agreed otherwise in writing, goods are offered either duty suspended (T1) or duty paid, as stated in the offer. The buyer is responsible for complying with all excise, customs and import rules that apply in its own country.
- Any general terms and conditions of the buyer do not apply unless we have accepted them expressly and in writing.
- Specific terms agreed in writing for an individual transaction take precedence over these Terms & Conditions.
4. Liability
- We are not liable for any damage arising from the use of this website or from relying on the information on it, nor for temporary unavailability of the website.
- To the extent permitted by law, our total liability arising from an agreement is limited to the invoice value of the goods to which the claim relates.
- We are never liable for indirect or consequential loss, including loss of profit, lost sales, business interruption or reputational damage.
- These limitations do not apply in case of intent or deliberate recklessness on our part.
5. Intellectual property
The content of this website, including texts, photographs, the New Day Spirits name and logo and the design, is protected by intellectual property rights and belongs to New Day Spirits or its licensors. You may not copy, publish or use it for commercial purposes without our prior written permission. Brand names and trademarks of third parties that may be mentioned in our communications belong to their respective owners; their mention does not imply any affiliation or endorsement.
6. Use of the website
- You may use this website and its contact form only for lawful business purposes.

The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply. Any dispute will be submitted exclusively to the competent court in Groningen (Rechtbank Noord-Nederland), unless mandatory law provides otherwise.
